SimplyMe™ Terms & Conditions

Effective Date: September 22, 2026
Last Updated: October 10, 2026

These Terms and Conditions (the “Terms”) form a legally binding agreement between you and Nucleus Development Group LLC, an Arizona limited liability company (“Nucleus,” “SimplyMe,” “we,” “us,” or “our”), governing your access to and use of the SimplyMe mobile application, SimplyMeApp.com, and related services, features, content, and communications (collectively, the “Service”).

IMPORTANT DISPUTE NOTICE

SECTION 25 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED. YOU MAY REJECT ARBITRATION BY FOLLOWING THE 30-DAY OPT-OUT PROCEDURE IN SECTION 25.9.

1. Acceptance and Scope

1.1 By creating an account, selecting “I Agree,” accessing, purchasing, or using the Service, you represent that you have read, understood, and agree to these Terms, the Privacy Policy, the Community Guidelines, the Dating Safety Notice, and any additional terms presented for a particular feature or promotion.

1.2 If you do not agree, do not create an account or use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization; however, SimplyMe is primarily intended for individual personal use.

1.3 Certain provisions apply only when the relevant feature is offered, including paid subscriptions, dating coaches, partner discounts, or beta programs.

1.4 If a translated version conflicts with the English version, the English version controls to the extent permitted by law.

2. Eligibility

2.1 You must be at least 18 years old and legally capable of entering a binding contract. SimplyMe is not directed to minors. We may request proof of age and may suspend or terminate any account we reasonably believe belongs to a minor.

2.2 You may not use the Service if you are prohibited by applicable law, have been convicted of or are required to register for an offense that we determine presents an unacceptable safety risk, have previously been removed from SimplyMe without written permission to return, or are using the Service for commercial, investigative, fraudulent, or unlawful purposes.

2.3 You represent that all registration, profile, verification, and questionnaire information you provide is truthful, current, and belongs to you. You may maintain only one personal account unless we expressly authorize otherwise.

2.4 The Service may be offered only in selected locations and demographic pools. Availability in a city does not guarantee a minimum number, identity, gender balance, age distribution, compatibility level, or responsiveness of members.

3. Account Registration and Security

3.1 You may be able to register using email, telephone, Apple, Google, Facebook, or another supported sign-in method. Third-party sign-in is also governed by the third party’s terms and privacy practices.

3.2 You are responsible for maintaining the confidentiality of your credentials, controlling access to your device, and promptly notifying us at security@simplymeapp.com of suspected unauthorized access. You are responsible for activity conducted through your account except to the extent caused by our failure to use reasonable security measures.

3.3 You may not share, sell, transfer, rent, or allow another person to operate your account; create an account for another person; use false contact information; use disposable numbers to evade controls; or attempt to regain access after suspension through a new account.

3.4 We may require reauthentication, reverification, updated photographs, or additional information when reasonably necessary for safety, fraud prevention, legal compliance, or account recovery.

4. Identity, Photo, Liveness, and Biometric Verification

4.1 SimplyMe requires verification before a profile may be shown. Verification may include a one-time passcode sent to your telephone, a live selfie or short liveness video, facial comparison between verification media and submitted profile photographs, age or identity checks, and automated review for prohibited or manipulated content.

4.2 A verified status means only that the account completed the verification process at a particular time. It is not a guarantee of a member’s identity, age, name, intentions, criminal history, relationship status, safety, honesty, or future conduct. Verification can be defeated, and accounts or devices can later be compromised.

4.3 Where verification involves face geometry or information regulated as biometric information, we will present a separate Biometric Verification Notice and Consent before collection. The notice must describe the data, purpose, service providers, retention period, deletion practices, and any legally required release. Declining required verification may prevent account creation or continued use.

4.4 You authorize us and our verification providers to process verification submissions solely for the disclosed purposes, subject to applicable law and the Privacy Policy. You may not submit another person’s image, video, identity document, or biometric information.

4.5 Verification may produce errors. If verification fails, you may use the recheck or appeal process shown in the Service or contact appeals@simplymeapp.com. We may limit repeated attempts to prevent fraud and abuse.

4.6 SimplyMe currently requires at least three and permits no more than five profile photographs. All displayed photographs must depict you, be recent enough to represent your current appearance, and satisfy the Content Standards.

5. How SimplyMe Works

5.1 SimplyMe is designed to provide equal visibility for eligible members without paid boosts, paid priority placement, pay-to-win ranking, or a desirability score that places paying members above others. SimplyMe does not promise that profiles will be displayed in a purely random, chronological, or identical order.

5.2 Software necessarily determines whether a profile is eligible to appear based on location, age and gender settings, mutual eligibility, activity, blocking, safety status, previously viewed profiles, technical availability, and other neutral operational rules. Automated systems also calculate compatibility information, enforce limits and timers, prevent duplicates, and detect suspected abuse.

5.3 The Service does not provide searchable income or exact-height filters. Height may be displayed only in relative categories such as shorter than you, same height as you, or taller than you. Members may control a limited set of basic discovery settings made available in Preferences.

5.4 SimplyMe does not guarantee that any profile will be seen by a particular person, receive equal impressions over a particular period, be selected, receive a reply, result in a date, or lead to any relationship outcome.

5.5 Profiles may be ordered or withheld for safety, legal compliance, location, compatibility display, activity, capacity, cooldowns, anti-fraud controls, or testing. These operational actions do not constitute paid profile ranking.

6. Questionnaire and Compatibility Information

6.1 After account creation, you must complete SimplyMe’s onboarding questionnaire before using core dating features. The questionnaire may address preferences, lifestyle, and relationship goals. It does not permit “must-have” income or exact-height criteria.

6.2 Core questionnaire answers are locked after submission to preserve consistency and reduce strategic answer manipulation. Limited discovery settings identified in the Preferences page may remain adjustable. We may permit a correction or reset when required by law, needed to correct a documented error, or appropriate after a material life change, safety issue, or identity correction; additional verification may be required.

6.3 Profiles may show three percentages: Preference Match, Lifestyle Compatibility, and Relationship Compatibility. Requests may show an overall percentage calculated from those categories. The Service may intentionally withhold which answers matched or differed.

6.4 Compatibility information is an automated estimate based on submitted answers and SimplyMe’s scoring methodology. It is not scientific, clinical, psychological, medical, or professional advice; it does not measure character or safety; and it does not guarantee attraction, communication, or relationship success.

6.5 You may not reverse engineer, scrape, manipulate, game, or use multiple accounts to infer hidden questionnaire answers, scoring weights, or another member’s restricted information.

7. Eight-Slot, Request, Timer, and Inactivity Rules

7.1 Each member may maintain up to eight active selections or conversations in the Stack. Discovery locks when all eight slots are occupied and unlocks when a slot becomes available under the applicable rules.

7.2 Selecting a profile may create a request or allow an opening message. Requests received from people who selected you appear separately from communications involving people you selected. Accepting a request uses an available Stack slot. If no slot is available, you must intentionally choose an eligible profile to replace before accepting.

7.3 Before a first message is sent, a selected profile is subject to a 48-hour hold before ordinary manual removal. After the first message is sent, a 24-hour post-message hold applies. The current timer and removal status will be displayed in the Service.

7.4 A member may use no more than one locked-profile swap during a rolling 24-hour period when that option is available. A swap permanently removes the replaced profile from the current Stack and may trigger a cooldown before that profile can reappear.

7.5 If two members select each other, the Service may identify a mutual match and place or highlight it in each member’s Stack. A mutual match does not create any obligation to message, respond, meet, or continue communicating.

7.6 Profiles removed from a Stack may be subject to a 30-day reappearance cooldown. Blocking, reports, safety actions, account deletion, inactivity, location changes, or eligibility changes may prevent reappearance entirely.

7.7 An account that has not recorded qualifying activity for seven consecutive days may be temporarily deactivated or hidden from discovery. Logging in or completing a reactivation step may restore eligibility, subject to reverification and any subscription status. We may define qualifying activity in the Service and exclude background activity, automated activity, or activity reasonably associated with abuse.

7.8 Safety controls override all timers, holds, slot limits, and cooldowns. You may block or report a member at any time, and we may remove, preserve, or restrict communications as needed for safety, fraud prevention, evidence preservation, or legal compliance.

7.9 Feature rules may be refined during beta. Material changes will be disclosed as required by law. Timers shown in the Service are controlling and may be affected by maintenance, device time, connectivity, or account review.

8. Communications and Automated Safety Screening

8.1 SimplyMe may use automated and human review tools to analyze profile text, images, reports, and messages before or after transmission for suspected scams, threats, harassment, sexual exploitation, sexually explicit content, solicitation, prohibited requests for exact height or income, attempts to circumvent product controls, and other violations.

8.2 If a draft message is flagged before transmission, the Service may warn you and return the draft for revision rather than deliver it. A warning does not mean the system is correct, and failure to warn does not mean content is safe or permitted. We do not guarantee that drafts will always be retained, recoverable, or available after a technical interruption.

8.3 Automated review may generate false positives or miss harmful content. We may delay, block, redact, quarantine, limit, or remove content; restrict links or contact information; or require additional review. You may appeal a moderation action through appeals@simplymeapp.com or the in-app appeal path.

8.4 You understand that communications may be reviewed or preserved when reasonably necessary to operate the Service, respond to reports, enforce these Terms, protect users, detect fraud, or comply with law, as further described in the Privacy Policy.

8.5 SimplyMe does not send fabricated romantic messages, operate undisclosed dating bots posing as members, or use messages from suspected fraudulent accounts to induce subscription purchases. System notices, coach communications, support messages, and clearly labeled automated messages are not member messages.

9. User Conduct

You agree to use the Service respectfully, lawfully, and only for genuine personal dating or relationship purposes. You may not:

  • misrepresent your identity, age, appearance, location, relationship status, intentions, or material profile information;

  • impersonate another person, use synthetic or stolen identity materials, create a deceptive profile, or permit another person to use your account;

  • harass, stalk, threaten, intimidate, shame, degrade, discriminate against, exploit, blackmail, or coerce another person;

  • request, share, threaten to share, or create intimate images without consent, including altered or deepfake intimate images;

  • send sexually explicit material, sexual propositions, fetish content, or repeated sexual messages without clear consent, or engage in sexual exploitation or trafficking;

  • solicit prostitution, commercial sex, sugar-dating payments, financial arrangements, gifts, loans, investments, cryptocurrency, wire transfers, gift cards, account access, or financial information;

  • pressure another member to disclose exact income, exact height, home address, workplace, financial data, identity documents, or other restricted personal information, or repeatedly attempt to circumvent a recipient’s boundary;

  • use hate speech; target protected characteristics; promote violence, terrorism, self-harm, eating disorders, or criminal activity;

  • communicate with or seek sexual content involving a minor, or upload content depicting or exploiting a minor;

  • advertise, recruit, campaign, conduct research, collect leads, sell products or services, or use the Service for employment, housing, credit, law-enforcement, or eligibility decisions;

  • scrape, crawl, index, record, copy, download, reverse engineer, probe, overload, disrupt, introduce malware, evade rate limits, or access nonpublic portions of the Service;

  • use automated accounts, scripts, emulators, location spoofing, credential stuffing, or other tools to create accounts or manipulate visibility, scoring, requests, timers, promotions, or engagement;

  • publish another member’s content or personal information outside the Service without permission; or

  • encourage, assist, or attempt any prohibited conduct.

10. Content Standards

10.1 Profile photographs and other content must be authentic, lawful, relevant, and suitable for a dating service. Content may not contain nudity, pornography, sexual acts, graphic violence, hate symbols, illegal goods, weapons displayed to threaten, personal contact details intended to bypass controls, commercial promotions, watermarks for another dating service, or content that infringes another person’s rights.

10.2 Photographs must primarily and recognizably depict you. Group photographs, heavily altered images, AI-generated depictions, face swaps, misleading filters, screenshots, and images of children may be restricted or prohibited under the Community Guidelines.

10.3 You retain responsibility for all content and communications you submit, even when the Service suggests prompts, formatting, or edits. Do not submit content you do not have the right to use.

10.4 We may remove or restrict content that violates these Terms or creates legal, security, safety, reputational, or operational risk, but we are not obligated to monitor every item.

11. Dating Safety and Background-Check Disclosure

11.1 Interacting with strangers, online or in person, carries risk. Use caution, protect personal information, meet in a populated public place, use your own transportation, tell a trusted person your plans, and leave or contact emergency services if you feel unsafe. Review Appendix A before using the Service.

11.2 Unless expressly stated for a specific member or feature, SimplyMe does not conduct comprehensive criminal, civil, identity, marital-status, employment, income, education, driving, sex-offender-registry, or other background checks. We do not independently verify every profile statement.

11.3 Photo and liveness verification is not a background check and is not a safety endorsement. Public records may be incomplete, delayed, inaccurate, unavailable, or associated with the wrong person.

11.4 Never send money, payment credentials, gift cards, cryptocurrency, banking information, or identity documents to another member. Report suspected fraud promptly. If you face an immediate threat, contact 911 or the appropriate local emergency authority before contacting SimplyMe.

11.5 We may disclose a safety or fraud ban and the relevant account identifier to members who communicated with that account when permitted or required by law. A ban reflects our risk judgment and is not a judicial finding.

12. Reporting, Blocking, Investigations, and Enforcement

12.1 You may block or report a member through the Service. Blocking is intended to stop future direct interaction and discovery between the accounts, but we cannot guarantee that a blocked person will not contact you elsewhere or create another account.

12.2 We may investigate suspected violations using account information, verification results, content, device and network signals, reports, transaction records, and information lawfully obtained from service providers or public sources. We may preserve information and cooperate with law enforcement or safety organizations as permitted or required by law.

12.3 We may warn, restrict, hide, pause, deactivate, suspend, terminate, ban, or refuse service; remove content; cancel requests; limit features; require reverification; or refer matters to authorities. We may act without prior notice when reasonably necessary for safety, fraud prevention, legal compliance, evidence preservation, or protection of the Service.

12.4 Enforcement decisions may consider context, severity, recurrence, credibility, risk, technical evidence, and prior history. We are not required to disclose confidential reports, security methods, another person’s information, or details that could enable evasion.

12.5 You may submit an appeal through appeals@simplymeapp.com or the in-app appeal path. Appeals do not stay safety restrictions. We may deny reinstatement and may retain limited identifiers to enforce a ban or prevent fraud as described in the Privacy Policy.

12.6 If you or a person you are authorized to represent is depicted in an intimate image or video published without consent, including a digitally altered image or deepfake, you may submit a removal request through safety@simplymeapp.com with the subject line “Intimate Image Removal Request”. The process must remain available to nonmembers. Where the federal TAKE IT DOWN Act applies, we will remove a validly reported depiction and make reasonable efforts to remove known identical copies as soon as possible and no later than 48 hours after receiving a valid request. The removal page will explain the information and signature required for a valid request.

13. User Content and License

13.1 “User Content” means photographs, profile text, questionnaire responses, messages, reports, feedback, and other material you submit. You retain ownership of your User Content, subject to the license below.

13.2 You grant Nucleus a worldwide, nonexclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, adapt, analyze, display, transmit, and otherwise use User Content only as reasonably necessary to operate, secure, improve, promote, and provide the Service; enforce these Terms; and comply with law. Private messages will not be used in public advertising without your consent.

13.3 The license ends when the relevant User Content is deleted from our active systems, except for reasonable backup periods, legal retention, safety and fraud records, content shared with others who retain it, deidentified or aggregated information, and rights necessary to resolve disputes or enforce these Terms.

13.4 You represent that you own or control all necessary rights, that your User Content is accurate where presented as fact, and that our permitted use will not violate law or another person’s rights.

13.5 If you submit ideas or feedback about SimplyMe, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, but we are not required to use it.

14. SimplyMe Intellectual Property and Limited License

14.1 The Service, including software, interfaces, designs, trademarks, logos, compatibility methodology, scoring weights, text, graphics, and documentation, is owned by or licensed to Nucleus and protected by intellectual-property law.

14.2 Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable, nonsublicensable, revocable license to install and use the Service on devices you own or control solely for personal dating use.

14.3 No right is granted to use the SimplyMe name, logo, source code, scoring method, datasets, or other proprietary material except as expressly permitted. All rights not expressly granted are reserved.

15. Beta Access, Promotions, and Free Periods

15.1 SimplyMe may offer beta access, waitlist promotions, city-based launch waves, founder promotions, creator promotions, or free membership periods. Eligibility, duration, start date, geographic scope, completion requirements, and limits will be stated in the applicable offer.

15.2 Unless an offer expressly states otherwise, promotional access requires a completed account, required verification, and compliance with these Terms; has no cash value; is nontransferable; cannot be combined; and may be revoked for fraud, duplicate accounts, misrepresentation, ineligibility, or abuse.

15.3 A waitlist position does not guarantee admission, a particular launch date, demographic balance, or promotional award. We may admit members in controlled waves based on city and dating-pool balance, technical capacity, safety, and operational readiness.

15.4 A free period that does not require payment information will not automatically become a paid subscription. At the end of that period, paid features may pause unless you separately review the price and affirmatively purchase a subscription.

15.5 Promotional membership does not guarantee uninterrupted access, continued eligibility, or immunity from inactivity deactivation, moderation, suspension, or termination.

16. Paid Subscriptions, Billing, Renewal, and Price Changes

16.1 If paid subscriptions are offered, the purchase screen will disclose the price, billing period, included features, whether the subscription automatically renews, any trial or introductory terms, and how to cancel. Those disclosures are incorporated into these Terms.

16.2 If you purchase an auto-renewing subscription, it will renew for the disclosed period and the applicable payment method will be charged unless you cancel before the renewal deadline shown by Apple, Google, or the applicable payment provider. Taxes may be added where required.

16.3 Purchases made through Apple App Store or Google Play are billed and administered by that store. Store terms may govern payment processing, cancellation timing, refunds, and restoration. We do not receive or store your full app-store payment-card number.

16.4 We may change subscription prices prospectively. We will provide notice and obtain any consent required by law or platform policy. Continuing to use a paid subscription after an effective price change constitutes acceptance only where permitted by law and after required notice.

16.5 Failure to collect payment may result in a grace period, account hold, feature limitation, or expiration. You remain responsible for authorized charges incurred before cancellation.

16.6 Paid status does not buy increased profile visibility, ranking priority, boosts, or preferential treatment. Every paying member receives the same paid membership feature set unless an offer clearly identifies a non-visibility-related difference.

17. Cancellation, Refunds, and Account Deletion

17.1 You may cancel an auto-renewing subscription through the store or payment provider used to purchase it. Uninstalling the app, pausing your profile, becoming inactive, or deleting your SimplyMe account may not automatically cancel a third-party subscription. Follow the in-app cancellation instructions and confirm cancellation with the store.

17.2 Except where required by law or platform policy, charges are nonrefundable and we do not provide credits for partially used billing periods, inactivity, unavailability of particular profiles, unanswered messages, removal for violation, or dissatisfaction with dating outcomes. Apple or Google may decide refund requests for purchases they process.

17.3 You may request account deletion through the in-app Settings path or by emailing privacy@simplymeapp.com. Deletion may be subject to identity verification. We will delete or deidentify associated data as described in the Privacy Policy, except information retained for legal compliance, safety, fraud prevention, chargebacks, dispute resolution, or enforcement.

17.4 Deleting an account removes access to messages and matches and may be irreversible. Information previously shared with other members may remain in their possession, screenshots, device notifications, or legally retained records.

17.5 If we terminate a paid account without cause, we may provide a prorated refund where required by law. No refund is owed for termination based on violation, fraud, chargeback abuse, or safety risk except where nonwaivable law requires otherwise.

18. Dating Coaches, Discounts, and Third Parties

18.1 If SimplyMe offers access to dating coaches, a coach may be an independent provider rather than an employee or agent of Nucleus. Coach qualifications, availability, pricing, scope, and separate terms will be disclosed before booking.

18.2 Coaching is educational and informational. It is not therapy, mental-health treatment, medical care, legal advice, crisis intervention, or a guarantee of dating success. Do not use a coach or the Service for emergencies.

18.3 If SimplyMe offers discount codes or benefits from salons, retailers, restaurants, or other local businesses, the merchant—not Nucleus—is responsible for the goods, services, availability, pricing, safety, licensing, and redemption. Offers may change or expire and may have separate restrictions.

18.4 The Service may link to third-party websites or services. We do not control and are not responsible for third-party content, terms, privacy practices, security, products, or conduct. A link or integration is not an endorsement unless expressly stated.

19. Privacy and Data Practices

19.1 Our Privacy Policy at https://SimplyMeApp.com/privacy explains the categories of information we collect, purposes, disclosures, retention, security, location practices, rights, and choices. The Privacy Policy is incorporated by reference.

19.2 Dating profiles and questionnaire responses may reveal sensitive information, including sexual orientation, relationship preferences, beliefs, lifestyle, approximate location, and biometric verification data. Review the Privacy Policy and profile controls before submitting information.

19.3 Do not include highly sensitive information in a profile or message unless necessary and you accept the disclosure risk. No security measure is perfect, and recipients can copy or redistribute information.

19.4 Where required, we will obtain separate consent for precise location, biometric information, marketing communications, or other regulated processing. You may withdraw consent where applicable, but withdrawal may prevent use of a feature that requires the information.

20. Service Availability, Changes, and Beta Risks

20.1 The Service may be modified, tested, interrupted, delayed, or unavailable. Beta features may contain defects, lose data, behave unexpectedly, or change without the stability of a generally available product.

20.2 We may add, remove, limit, or discontinue features, cities, compatibility methods, timers, verification steps, or service providers. We will provide notice where required and will not retroactively charge you without consent.

20.3 We may conduct tests involving interface, ordering, prompts, safety tools, and feature availability, provided paid members are not sold boosts or visibility priority contrary to the Service’s stated model.

20.4 We are not liable for outages or delays caused by maintenance, telecommunications, app stores, cloud providers, cyberattacks, disasters, government action, labor disputes, or events beyond reasonable control, subject to applicable law.

21. Copyright Complaints

21.1 If you believe material on the Service infringes your copyright, send a notice to our designated copyright agent containing: your signature; identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a good-faith statement that the use is unauthorized; and a statement under penalty of perjury that the notice is accurate and you are authorized to act.

21.2 Copyright Agent: Copyright Agent, Nucleus Development Group LLC, 3133 W. Frye Road, Suite 101-1337, Chandler, Arizona 85226, copyright@simplymeapp.com. We may terminate repeat infringers when appropriate.

21.3 A user whose content was removed may submit a legally sufficient counter-notice. Misrepresentations in a notice or counter-notice may create liability.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NUCLEUS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, SECURITY, AVAILABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT VERIFICATION OR MODERATION WILL IDENTIFY EVERY RISK; THAT INFORMATION FROM MEMBERS IS TRUE; THAT COMPATIBILITY SCORES ARE ACCURATE; OR THAT YOU WILL RECEIVE VIEWS, REQUESTS, RESPONSES, DATES, OR A RELATIONSHIP.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS AND FOR DECIDING WHETHER, WHERE, AND HOW TO COMMUNICATE OR MEET. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

23. Limitation of Liability

23.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUCLEUS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; PERSONAL DECISIONS; OR DAMAGES ARISING FROM MEMBER CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY.

23.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE NUCLEUS PARTIES ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO NUCLEUS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

23.3 These limitations do not apply to liability that cannot be limited under applicable law, and they will be interpreted to preserve any nonwaivable consumer remedies. Some jurisdictions do not allow certain exclusions, so portions may not apply to you.

24. Indemnification

To the extent permitted by law, you will indemnify and hold harmless the Nucleus parties from third-party claims, damages, judgments, losses, and reasonable legal costs arising from your User Content, unlawful conduct, infringement of another person’s rights, misuse of the Service, or material violation of these Terms. This obligation does not require indemnification for a claim caused by a Nucleus party’s own unlawful conduct, negligence, or willful misconduct where prohibited by law. We may control the defense of a covered claim, and you will reasonably cooperate.

25. Dispute Resolution; Arbitration; Class-Action Waiver

READ THIS SECTION CAREFULLY

Except for the stated exceptions and unless you timely opt out, disputes will be resolved through binding individual arbitration rather than in court. There is no judge or jury in arbitration, and court review is limited.

25.1 Informal notice. Before filing a claim, the claimant must send a written Notice of Dispute describing the name and account contact information, facts, requested relief, and a personally signed statement that the notice is accurate. Send notices to legal@simplymeapp.com and 3133 W. Frye Road, Suite 101-1337, Chandler, Arizona 85226. The parties will attempt in good faith to resolve the dispute for 30 days.

25.2 Agreement to arbitrate. If unresolved, you and Nucleus agree that any dispute, claim, or controversy arising out of or relating to the Service, these Terms, communications, purchases, privacy, or the relationship between the parties will be resolved by binding individual arbitration under the Federal Arbitration Act, except as stated below.

25.3 Exceptions. Either party may bring an eligible individual claim in small-claims court; seek injunctive relief for actual or threatened infringement or misuse of intellectual property; or seek emergency relief involving credible threats, stalking, harassment, unauthorized account access, or misuse of personal or biometric information. Government agencies may exercise lawful authority.

25.4 Administrator and rules. Arbitration will be administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or declines, the parties will select another neutral administrator or a court will appoint one. The arbitrator may award any individual remedy available in court.

25.5 Location and format. The arbitration may occur by documents, video, telephone, or in person in the county where you reside or Maricopa County, Arizona, as the applicable rules and law permit. Nucleus will pay fees it is required to pay under consumer arbitration rules and applicable law.

25.6 Individual relief only. You and Nucleus waive the right to a jury trial and agree that each may bring claims only in an individual capacity, not as a plaintiff or class member in a class, collective, consolidated, representative, or private-attorney-general action. The arbitrator may award relief only to the individual claimant and only as needed to resolve that claimant’s claim.

25.7 Coordinated filings. If 25 or more substantially similar arbitration demands are submitted against a party within 180 days by or with coordinated counsel, the parties will confer on a fair staged process designed to preserve individual adjudication while controlling duplicative fees. Limitations periods will be tolled during that conference and any agreed staging.

25.8 Severability. If the prohibition on class or representative arbitration is found unenforceable for a particular claim or remedy, that claim or remedy will be severed and heard in court after completion of arbitrable claims, unless applicable law requires a different result. The remainder of this Section survives.

25.9 Thirty-day opt-out. You may reject this arbitration agreement by emailing legal@simplymeapp.com within 30 days after first accepting these Terms. The message must include your full name, account email or phone number, a clear statement that you opt out of arbitration, and your personal signature or typed electronic signature. Opting out will not affect other Terms or your account.

25.10 Changes. If we materially change this arbitration section after you accept it, you may reject the change by following the notice instructions within 30 days of the change. The previously accepted dispute terms will then apply, subject to law.

25.11 Survival. This Section survives account deletion, cancellation, termination, payment, and expiration of these Terms.

26. Governing Law

The Federal Arbitration Act governs Section 25. Subject to that section and nonwaivable consumer law, these Terms are governed by Arizona law without regard to conflict-of-law rules. Any permitted court proceeding must be brought in the state or federal courts located in Maricopa County, Arizona, and the parties consent to personal jurisdiction there, except that an eligible small-claims case may be brought where permitted.

27. Changes to These Terms

27.1 We may revise these Terms. We will post the updated version, update the “Last Updated” date, and provide additional notice or obtain renewed consent when required by law or when changes materially affect rights.

27.2 Changes apply prospectively from their effective date. If you do not agree, you must stop using the Service and cancel any subscription. Continued use after valid notice and the effective date constitutes acceptance to the extent permitted by law.

28. Electronic Communications and SMS Terms

28.1 You consent to receive transactional communications electronically, including account, verification, safety, legal, subscription, and service notices, at the email address, telephone number, device, or in-app inbox associated with your account.

28.2 Marketing email or text messages require any consent mandated by law and may be stopped using the instructions in the message. Opting out of marketing does not stop essential transactional or safety notices delivered through other available channels.

28.3 You must keep contact information current. Electronic records and signatures may satisfy legal writing and signature requirements to the extent permitted by law.

SMS Terms

28.4 When you provide a mobile telephone number and request a verification code, you consent to receive transactional SMS text messages from SimplyMe, operated by Nucleus Development Group LLC, for phone-number verification, authentication, account access, account recovery, fraud prevention, and account-security purposes.

28.5 SMS messages are sent only in connection with SimplyMe account and security functions unless you separately provide any consent required for marketing or promotional communications. Consent to receive marketing text messages is not a condition of purchasing any goods or services.

28.6 Message frequency varies based on your verification and authentication activity. Message and data rates may apply. Your wireless carrier’s standard messaging and data charges may apply.

28.7 You may reply STOP to an SMS message to opt out of further SMS messages and HELP for assistance. You may also contact support@simplymeapp.com for help. Opting out of verification SMS messages may prevent you from using features or account-access methods that require phone verification.

28.8 Wireless carriers are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to carrier availability, network conditions, device functionality, and other factors outside our control.

28.9 We do not sell or share SMS opt-in information, mobile phone numbers, or SMS consent records with third parties for their marketing purposes. Information relating to SMS communications may be shared with service providers only as necessary to deliver messages, prevent fraud, maintain security, or operate the Service, as described in our Privacy Policy.

28.10 Additional information regarding our collection and use of mobile phone information is available in the SimplyMe Privacy Policy at https://SimplyMeApp.com/privacy.

29. General Terms

29.1 Entire agreement. These Terms and incorporated policies are the entire agreement regarding the Service and supersede prior discussions concerning their subject matter. A promotion’s specific terms control only for that promotion.

29.2 Severability. Except as specifically provided in Section 25, if a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue.

29.3 No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by an authorized Nucleus representative.

29.4 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law, subject to applicable privacy and consumer-protection requirements.

29.5 No agency. These Terms do not create employment, agency, partnership, joint venture, fiduciary, franchise, or exclusive relationship between you and Nucleus or between members.

29.6 Third-party beneficiaries. Apple and its subsidiaries are third-party beneficiaries of the Terms applicable to an iOS download and may enforce those provisions. Otherwise, there are no third-party beneficiaries unless expressly stated.

29.7 Survival. Provisions that by nature should survive—including ownership, licenses already exercised, payment obligations, safety records, disclaimers, liability limits, indemnity, disputes, and general terms—survive termination.

Appendix A — Dating Safety Notice

Your safety comes first

There is no substitute for acting with caution when communicating with a stranger or deciding to meet in person.

  • Keep your last name, home address, personal email, workplace, daily routine, financial information, and identity documents private until you independently decide disclosure is safe.

  • Stop communicating with anyone who pressures you for personal, sexual, or financial information; asks you to move immediately to another platform; requests money; offers an investment; or creates an urgent crisis.

  • Never send money, gift cards, cryptocurrency, banking credentials, access codes, or copies of identity documents to someone you met through the Service.

  • Before meeting, consider a video call and independently verify information. Verification badges do not replace caution.

  • Meet in a well-populated public place. Tell a trusted person where you are going and when you expect to return. Arrange your own transportation and do not agree to be picked up at your home.

  • Keep control of food, drinks, medication, telephone, keys, and transportation. Leave immediately if you feel pressured or unsafe.

  • Consent must be voluntary, informed, specific, and ongoing. A match, message, date, purchase, or prior consent never creates consent to sexual contact.

  • Use in-app reporting and blocking. Preserve relevant messages or screenshots where safe. For immediate danger, contact emergency services first.

  • Romance scams often involve rapid emotional attachment, excuses for not meeting, overseas or military stories, emergencies, investments, cryptocurrency, or requests to receive or transfer money.

Appendix B — New York Dating Service Notices

This Appendix applies to a New York member as defined by applicable law and supplements, without limiting, rights provided by New York law. SimplyMe will present the notices and cancellation materials in this Appendix separately and conspicuously at registration, purchase, renewal, and any other time required by law.

B.1 Required Safety Awareness

  • There is no substitute for acting with caution when communicating with any stranger who wants to meet you.

  • Never include your last name, email address, home address, phone number, place of work, or other identifying information in your public profile or initial messages. Stop communicating with anyone who pressures you for personal or financial information or attempts to trick you into revealing it.

  • If you choose to meet another member, tell a family member or friend where you are going and when you will return. Do not agree to be picked up at your home. Provide your own transportation and meet in a public place with other people around.

B.2 Background-Screening Disclosure

SimplyMe does not conduct comprehensive criminal background checks or sex-offender-registry searches on every member unless a specific notice expressly states otherwise. Verification is not a background check.

B.3 Fraud-Ban Notifications

Where New York law applies, SimplyMe will notify a New York member known to have received and responded to an on-site message from an account subject to a fraud ban. The notice will identify the banned account by username, identification number, or other profile identifier; explain that the account may have used a false identity or posed a significant risk of attempting to obtain money fraudulently; warn the member never to send money or personal financial information; and provide fraud-prevention information.

The notice will be clear and conspicuous and sent by email, text message, or another appropriate method within the time required by New York law.

B.4 New York Dating Service Consumer Bill of Rights

The following Dating Service Consumer Bill of Rights is provided pursuant to New York General Business Law § 394-c and must be shown as a separate, clear, and conspicuous notice or appropriately labeled link to each New York purchaser at each sale or renewal.

  1. No social referral service contract shall require payment by you, the purchaser, of more than one thousand dollars. In addition, no such contract may extend for more than two years.

  2. No social referral service contract shall require you to purchase a good or service directly or indirectly related to the social referral service. These extra services are known as ancillary services. They may be offered to you, but the seller may not require you to purchase them as a condition of your social referral service contract.

  3. If your social referral service contract costs more than twenty-five dollars, the seller must furnish a minimum number of referrals per month unless the service provides search functionality or presents possible matches. If the required minimum is not furnished for two successive months, or an online dating service with search, algorithmic, or location-based matching provides no referral for two successive months, you may cancel and receive a refund of the money paid, less a cancellation fee that cannot exceed the greater of fifteen percent of the cash price or a pro rata amount for referrals furnished.

  4. Unless the online dating service is generally available on a regional, national, or global basis, the contract must specify how far you are willing to travel to meet a referral, and no referral may be furnished beyond the stated distance.

  5. The provider must maintain a fair and reasonable policy for a purchaser who permanently moves outside the area it serves, and the policy must be explained in the contract.

  6. If a provision of the social referral service contract is violated, you have the right to bring a court action against the provider that violated the contract.

For contracts over one thousand dollars, reasonable and fair service fee shall mean no more than one hundred dollars plus an amount equal to five percent of the total contract price over one thousand dollars, not to exceed two hundred fifty dollars.

A BREACH OF THIS PROVISION SHALL SUBJECT THE SELLER TO PAY DAMAGES UP TO TWICE THE AMOUNT OF THE ACTUAL DAMAGES PLUS REASONABLE ATTORNEYS FEES.

B.6 Additional New York Rights

A New York purchaser may place a membership on hold for up to one year by sending written notice to legal@simplymeapp.com. SimplyMe and the purchaser may agree to a longer hold not exceeding two years.

At the expiration of the contract or services, SimplyMe will return or destroy and delete personal or private information as required by New York law and will provide certification of destruction or deletion when required, except information that applicable law or a court order requires SimplyMe to retain.

Appendix C — Biometric Verification Notice and Consent

Separate Consent Required

This notice describes SimplyMe’s verification architecture and must be presented as a separate affirmative consent before biometric information is collected. It must be updated if the provider, processing, storage, or retention practices materially change.

C.1 Information. SimplyMe and Amazon Web Services, Inc. (“AWS”), through Amazon Rekognition Face Liveness and face-comparison services, may process a short live selfie video, a high-quality reference image extracted from that video, up to four audit images if enabled, the profile photographs submitted for comparison, temporary facial-feature measurements or mathematical representations needed to perform the comparison, liveness and face-similarity confidence scores, and session or transaction identifiers. SimplyMe will not use this information to identify you against a public or third-party facial database.

C.2 Purpose. The information is used only to determine whether a live person is present, compare verification media with submitted profile photographs, prevent impersonation or fraudulent use, review disputed or uncertain verification results, and maintain account security. It will not be used for advertising or to identify you in unrelated contexts.

C.3 Disclosure. The information may be disclosed to or processed by AWS and authorized cloud infrastructure providers solely to provide verification, security, fraud prevention, legal compliance, and support. SimplyMe remains responsible for configuring access, retention, and deletion controls for copies stored in its cloud account. SimplyMe will not sell, lease, trade, or otherwise profit from biometric identifiers or biometric information.

C.4 Retention and destruction. This Appendix is SimplyMe’s publicly available retention and destruction schedule. An AWS Face Liveness session identifier ordinarily expires approximately three minutes after issuance, after which its session data is unavailable through the service. If SimplyMe exports a reference image or audit image to storage it controls, that image and any retained temporary facial representation, liveness score, or face-similarity score will be permanently deleted no later than 30 days after the final verification decision or abandonment of the attempt. If a timely verification appeal is submitted, the information may be retained until the appeal is resolved and will be deleted within 30 days after resolution. SimplyMe will not intentionally retain the full selfie video or create a persistent Rekognition face collection. A shorter period will apply when required by law; a longer period will apply only when specifically required by law, court order, or valid legal hold. Before processing production member data, SimplyMe will configure its AWS organization to opt out of AWS use of member verification content for artificial-intelligence service improvement. SimplyMe may retain a non-biometric record of the outcome, date, consent version, provider transaction identifier, and audit disposition under its general records-retention policy.

C.5 Consent. By selecting the separate consent checkbox and continuing, you acknowledge this notice and voluntarily authorize the described collection, processing, disclosure, retention, and destruction. If you do not consent, do not continue; SimplyMe verification and account access may be unavailable.

C.6 Withdrawal and questions. Where applicable, you may withdraw consent or ask privacy or biometric questions at privacy@simplymeapp.com. Withdrawal does not invalidate prior lawful processing and may require account deactivation. If a disability, photosensitivity, technical limitation, or suspected error prevents automated verification, contact support@simplymeapp.com to request an accessible alternative or manual review. Approval is not guaranteed, and additional information may be required.
